Keyfob Service Agreement & Waiver

1. Parties to the Agreement

This Service Agreement and Liability Waiver (the "Agreement") is entered into by and between:

• Service Provider: Happymi LLC, a Florida limited liability company (hereinafter referred to as the "Company").
• Customer: The individual requesting services, whose legal name and identification are captured in the attached Know-Your-Customer (KYC) log (hereinafter referred to as the "Customer").

2. Description of Services

The Company provides technology consulting and hardware duplication services, specifically the creating of backup or duplicate electronic access devices (including but not limited to RFID fobs, NFC cards, and smart keys) (the "Services").

3. Representation of Ownership and Authority

The Customer hereby expressly represents, warrants, and certifies under penalty of perjury that:

• The Customer is the lawful possessor, tenant, homeowner, or authorized user of the property associated with the access device presented for duplication.
• The Customer has the full, unrestricted legal right and authority to request a duplicate of said access device.
• The Customer has not misrepresented their identity, residency, employment status, or right to access the specified premises.

4. Covenant of Lawful Use

The Customer covenants and agrees that the duplicated access device provided by the Company will be used solely for lawful, personal backup, convenience, or residential purposes for themselves or authorized members of their household. The Customer agrees that the duplicate device will never be used for unauthorized entry, trespass, burglary, or any other criminal or illicit activities under Florida law.

5. Limitation of Liability and Waiver

To the maximum extent permitted by Florida law, the Customer agrees that Happymi LLC shall not be held liable for:

• Any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the duplicated access device.
• Any instance where a property manager, HOA, landlord, or security system detects, deactivates, or restricts the duplicated device.
• The Customer understands and accepts that electronic duplication carries a risk of technical incompatibility, and the Company's total liability for any defective duplication is strictly limited to a refund of the service fee paid.

6. Indemnification

The Customer agrees to defend, indemnify, and hold harmless Happymi LLC, its owners, officers, and employees from any third-party claims, property damage lawsuits, or liabilities (including reasonable attorneys' fees) arising out of the performance of these Services, unless caused by the gross negligence or willful misconduct of the Company.

7. Governing Law and Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state or federal courts located in Broward County, Florida. Both parties hereby irrevocably consent to the personal jurisdiction of such courts.

8. Entire Agreement and Severability

This Agreement constitutes the entire understanding between the Company and the Customer regarding the subject matter hereof. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
